The United States Department of Justice (DOJ) has given its official approval for Paramount Skydance Corporation to buy Warner Bros. Discovery in a deal worth about $110 billion.

This decision comes after an eight-month investigation by the DOJ's Antitrust Division, which reviewed over two million documents and spoke with eighty sources. The Division concluded that the merger is unlikely to stop competition or hurt consumers. Specifically, the DOJ emphasized that the deal would actually increase competition in the media and entertainment industry. This is because it creates a stronger alternative to dominant streaming platforms and helps keep traditional television and cinemas viable.

Paramount's main goal is to compete more effectively against large technology companies like Amazon, Apple, and Netflix. By acquiring Warner Bros. Discovery, Paramount will add HBO, CNN, and the HBO Max streaming service to its current portfolio, which includes CBS and Paramount Pictures. David Ellison, the leader of Paramount Skydance, stated that he intends to keep the studios as independent movie operations and plans to release thirty films in theaters every year. Furthermore, the company expects to save over $6 billion in costs.

However, the deal still faces strong opposition from some political and professional groups. For example, the Attorney General of California and officials in New York are reviewing the deal due to concerns about market control and job losses. Additionally, a group of over 1,400 industry professionals fears that the merger will lead to fewer jobs and less creative diversity. There are also concerns regarding investments from foreign funds in Qatar, Saudi Arabia, Abu Dhabi, and Tencent. Paramount has clarified that these foreign investors will have non-voting shares, meaning they cannot influence editorial decisions. Meanwhile, the Federal Communications Commission has not yet made a decision regarding foreign debt ownership.

Although the DOJ has approved the merger, the deal must still be reviewed by the European Commission, the UK's Competition and Markets Authority, and several U.S. state authorities.
